What is Net Working Capital (NWC) and why does it matter in a sale?
Net Working Capital (NWC) measures a company's short-term liquidity. In a sale, it ensures the buyer has enough operational cash, inventory, and receivables to run the business from day one without immediate additional investment. It shows owners, buyers, and lenders whether short‑term assets (such as receivables and inventory) can cover short‑term obligations (such as payables and accrued expenses) and still provide a buffer for everyday operations and growth. This calculation helps a buyer evaluate whether or not they need to bring extra money with them into the deal for the immediate transferring of the business or if the seller can include some working capital or some of the money already in the business accounts into the deal that the buyer can use on day one.
How do I calculate Net Working Capital?
Use the following formula: Net Working Capital = Current Assets - Current Liabilities
- Current Assets: Cash, accounts receivable, and inventory.
- Current Liabilities: Accounts payable, short-term debts, and accrued expenses.
What is a "Working Capital Peg"?
During negotiations, a "peg" or target amount of working capital is established based on the business's historical average. If the NWC at closing is higher than the peg, the purchase price may increase; if lower, it may decrease.
How does inventory impact Net Working Capital?
Inventory is a major component of NWC. A business with too much "dead" inventory may look like it has high NWC, but it isn't liquid. We help "normalize" these figures during the valuation process.
Do you offer free business valuations?
We call it an Opinion of Value and we do offer a confidential, no-obligation initial Opinion of Value for companies thinking about selling. The free evaluation is not suitable for a courtroom setting, because its main purpose is to help owners understand their market position and potential exit price before formally listing their business for sale.
How do you maintain confidentiality during a sale?
Confidentiality is our top priority. We do not advertise businesses by name publicly nor do we release the name or specific location of your business until a potential buyer has signed a strict Non-Disclosure Agreement (NDA) and has been financially vetted by our team. It is also important to stress confidentiality to lenders, accountants, attorneys and often management who are party to the transaction.
